Welcome to CarrierWing! These Terms and Conditions ("Agreement") govern your use of the services provided by CarrierWing Technologies LLC ("CarrierWing," "we," "us," or "our"). By accessing or using CarrierWing's services, you agree to comply with and be bound by this Agreement. If you do not agree, you must discontinue the use of our services immediately.

1. Acceptance of Terms
By using CarrierWing’s services (whether via mobile, web, or other interfaces), you acknowledge that you have read, understood, and agree to these Terms and Conditions. These terms form a legally binding agreement between you and CarrierWing.

2. Services Overview
CarrierWing provides communication services, including but not limited to local, long-distance, international calls, call recording, conference calling, SMS services, caller ID spoofing, and other VoIP-related services. These services may be subject to modifications, updates, or discontinuation at our discretion without prior notice.

3. User Responsibilities
As a CarrierWing customer, you agree to:
- Use our services only for lawful purposes.
- Not engage in any activity that may harass, defame, or harm others, or violate any local, state, national, or international laws.
- Abide by all applicable laws related to call recording, caller ID spoofing, and other services. You are solely responsible for ensuring that the use of call recording complies with local laws in the jurisdictions involved.
- Not misuse our services for fraudulent purposes, spam, hacking, or other malicious activities.
- Be solely responsible for ensuring compliance with local laws, especially for features like caller ID spoofing or call recording.

4. Account Security
You are solely responsible for maintaining the confidentiality of your account credentials (username, password, PIN). You agree to:
- Notify CarrierWing immediately if you suspect unauthorized access to your account.
- Be accountable for all activities performed under your account, whether authorized by you or not.
- Keep your contact details up to date so we can send notifications related to your account.

CarrierWing will not be liable for any losses incurred due to unauthorized access to your account.

5. Payment and Billing
- Prepaid Services: All CarrierWing services are offered on a prepaid or subscription basis. You must maintain a positive balance in your account to continue using our services.
- Non-Refundable: Payments for CarrierWing services are non-refundable, including any unused balances.
- Auto-Replenish: If enabled, auto-replenish will automatically charge your credit card when your account balance falls below a set threshold. You can disable this feature via your account settings.
- Billing Disputes: Any disputes related to billing must be raised within 30 days of the charge. After 30 days, you waive all rights to dispute charges.
- Taxes and Fees: You are responsible for all taxes, surcharges, and government fees applicable to your use of the services.

6. Service Interruptions
CarrierWing strives to provide uninterrupted services but does not guarantee continuous, error-free access. We are not liable for any downtime, service interruptions, or errors due to:
- Maintenance or updates to our systems.
- External factors beyond our control, such as natural disasters, network failures, or third-party disruptions.

7. Call Recording and Privacy
CarrierWing offers call recording and caller ID spoofing features, where applicable. By using these services, you agree that:
- It is your responsibility to comply with applicable local laws regarding call recording.
- In some jurisdictions, recording phone calls without both parties' consent is illegal. You agree to inform all parties involved in a recorded call, if required by law.
- CarrierWing is not liable for any misuse of these features, and you assume full responsibility for their proper use.

8. Limitation of Liability
CarrierWing will not be held liable for:
- Any indirect, incidental, special, or consequential damages, including but not limited to loss of revenue, profits, or data, arising from the use or inability to use our services.
- Any loss or damages resulting from unauthorized access to your account.
- Any loss due to interruptions, delays, or errors in our services, including third-party actions or technical issues beyond our control.

Maximum Liability: CarrierWing’s maximum liability in any case shall not exceed the amount you have paid for the services in question during the three (3) months prior to the event giving rise to the claim.

9. Prohibited Uses
You may not use CarrierWing’s services for:
- Unlawful activities, including but not limited to fraud, harassment, or abusive conduct.
- Telemarketing, debt collection, or automated calling systems, unless explicitly authorized in writing by CarrierWing.
- Spamming or transmitting unsolicited communications through our services.
CarrierWing reserves the right to suspend or terminate your account if prohibited activities are detected.

10. Modifications to Services
CarrierWing reserves the right to modify, discontinue, or suspend any of its services at any time. We will endeavor to notify you in advance of such changes but may do so without notice in some cases. Continued use of our services after changes to this Agreement constitutes acceptance of those changes.

11. Intellectual Property
All intellectual property associated with CarrierWing, including logos, trademarks, service marks, and proprietary technology, are the exclusive property of CarrierWing. You are not granted any license to use these materials without written permission from CarrierWing.

12. Termination
CarrierWing reserves the right to terminate your account or suspend services at our discretion, including:
- For violations of these terms.
- If you engage in fraudulent, abusive, or illegal activities.
- If there has been no usage on your account for six (6) consecutive months, at which point any remaining balance may be forfeited.

13. Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the State of New York, USA, without regard to its conflict of law principles. Any disputes arising from this Agreement will be resolved through binding arbitration, conducted by a single arbitrator in New York, NY, in accordance with the rules of the American Arbitration Association. The prevailing party in such disputes will be entitled to recover attorney's fees and costs.

14. Force Majeure
CarrierWing shall not be liable for any failure to perform due to circumstances beyond its control, including but not limited to acts of God, natural disasters, strikes, power outages, terrorist attacks, or failures of third-party systems.

15. Indemnification
You agree to indemnify and hold CarrierWing, its affiliates, officers, directors, employees, and agents harmless from any claims, damages, losses, or expenses (including reasonable attorney’s fees) arising from your use of our services, including any breach of this Agreement, violations of law, or third-party rights.

16. Severability
If any provision of this Agreement is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.

17. Entire Agreement
This Agreement, together with any applicable additional terms, constitutes the entire agreement between you and CarrierWing regarding the services. It supersedes all prior agreements, written or oral.
